Delayed engagement from P to D

Hey there,

I've got a 2002 Honda Civic, 205,000 miles, automatic transmission, and the code I have is P1298. The delayed engagement is only a problem when going from P to D and R to D. There is no delay in engagement going from P to D3, or P to R, or D3 to D (when stopped). The delay is consistently about 5 seconds, and during that period there are a few slightly audible clicking noises, as if the car was thinking about what it needs to do to engage D. 

I recently rebuilt the transmission because it was slipping and friction plates were wearing out. But the delayed engagement was a problem about 10 months before the transmission began slipping (I can only think that the slipping was caused by revving the engine during the delayed engagement period). Bought a regular rebuilt kit and replaced all the parts of the kit. So, the rebuild fixed the slipping transmission (and it shifts great now) but did not fix the delayed engagement; so I am back to the original problem. 

Any ideas, experience, and thoughts would be greatly appreciated.
